Terms of Service

Agreement
These Terms of Service ("Terms") are an agreement between you and ApiCourier LLC ("ApiCourier," "we," "us," or "our") and govern your access to and use of our website, desktop application, command-line tools, online services, and related offerings (collectively, the "Services"). Our Privacy Policy and any product-specific notices (including the Third-Party Notices) are incorporated into these Terms by reference. By using the Services, you agree to these Terms.
Eligibility and Accounts
- You must be legally able to enter into contracts to use the Services.
- You are responsible for your account credentials and all activity under your account.
- You agree to provide accurate information and keep it up to date.
- You may not use the Services if you are located in, or a citizen or resident of, a country subject to comprehensive U.S. sanctions, or if you are on any U.S. government denied-parties list. You agree to comply with all applicable export control and sanctions laws.
What You're Licensing
ApiCourier is delivered as a locally-installed desktop application, optional command-line tools, and optional online services (for example: billing portal, support endpoints, team infrastructure). These Terms grant different rights depending on which component you use.
Free tier (desktop application)
We grant you a worldwide, non-exclusive, non-transferable, revocable license to install and use the Free tier of the desktop application and CLI for your internal business or personal use, subject to these Terms. The Free tier does not require a subscription.
Paid tiers (Pro, Team, Enterprise)
Paid tier features are unlocked by an active subscription tied to your account. Your subscription grants a worldwide, non-exclusive, non-transferable, revocable license to use the features available in your tier while your subscription is active. See "Perpetual Fallback License" below for what persists after your subscription ends.
Online services
Components such as the billing portal, support endpoints, Team infrastructure (shared environments, shared mock gateway, activity feed), Enterprise identity integrations, and any future cloud features are online services that require an active subscription or connection to operate. Online services may be modified, throttled, or suspended from time to time.
Restrictions
You may not:
- Reverse engineer, decompile, or attempt to derive source code except where legally permitted.
- Use the Services to violate law, infringe rights, or transmit malicious code.
- Bypass technical limits, security controls, or license enforcement mechanisms.
- Resell, sublicense, rent, or provide the Services on a service bureau or hosted basis without our written permission.
- Use the Services to build a competing product or to benchmark for the purpose of producing a competing product.
Subscriptions, Billing, and Taxes
Paid plans are sold as subscriptions and automatically renew at the end of each billing period (monthly or annual, depending on what you select) until you cancel. Your payment method will be charged at the start of each renewal period at the then-current rate for your plan.
- You authorize us and our payment processor (Stripe) to charge your selected payment method.
- Applicable taxes (including sales tax, VAT, and GST) may be added where required. Stripe Tax may be used to calculate and apply these amounts.
- You are responsible for providing accurate billing and tax information.
- Prices may change. We will give reasonable advance notice (at least 30 days) before a price increase takes effect for your subscription.
Plan changes, upgrades, and downgrades
You can change your plan from your account at any time. Upgrades take effect immediately and may be prorated against your current billing period. Downgrades and cancellations take effect at the end of your current billing period; you retain access to your paid tier until that date.
Cancellation and refunds
You may cancel at any time from your account. Cancellation stops future renewals; it does not refund the current billing period. Fees already paid are non-refundable except where required by law.
Perpetual Fallback License
After 12 consecutive paid months of an eligible paid subscription (currently Pro), you earn a perpetual, worldwide, non-exclusive, non-transferable license to use the desktop application and locally-licensed features of that tier in the versions of ApiCourier released up to and including your "fallback cutoff date." Your fallback cutoff date advances each additional month you remain subscribed.
If your subscription lapses after this 12-month point, those locally-licensed features continue to work on your machine indefinitely on the versions covered by your fallback cutoff date. To receive newer versions and updates, an active subscription is required.
What is not covered by perpetual fallback:
- Online services that require a live connection (billing portal, support endpoints, hosted mock gateway, shared Team infrastructure, real-time activity, SSO/SCIM, vault integrations, cloud-based features).
- Features labeled beta, preview, early access, insider, or experimental at the time they were delivered to you.
- Features released after your fallback cutoff date.
- Support and updates, which require an active subscription.
If your subscription is terminated for a violation of these Terms, the perpetual fallback license does not apply and all paid-tier rights end immediately.
Insider Program
Our Insider Program is a closed pre-release program that grants participants access to in-development builds of ApiCourier ahead of general availability. Insider access is granted manually and may be revoked at our discretion.
Insider participants who remain in good standing through v1.0 general availability will receive 12 months of Pro at v1.0 launch at no additional cost, provided (a) they have not materially breached these Terms and (b) they remain an active Insider participant at launch. Insider status, eligibility, and the specific benefits available may be adjusted before launch; any changes will be communicated to Insiders directly.
Insider builds are provided "as is" and are not covered by the Perpetual Fallback License. Insiders are expected to report bugs and feedback in good faith through the channels we provide.
Beta and Pre-Release Features
Some features may be marked beta, preview, early access, insider, or experimental. These features may be changed, suspended, or discontinued at any time and may have reduced support or stability. Beta and pre-release features are not covered by the Perpetual Fallback License, even if accessed under a paid subscription.
Intellectual Property
We and our licensors retain all right, title, and interest in the Services, including software, branding, and documentation. Except for the limited licenses granted in these Terms, no rights are granted. Third-party open source components are licensed under their own terms; see the Third-Party Notices.
If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.
Your Content and Local Data
ApiCourier is designed to be local-first. Your API collections, environments, scripts, database connection details, and request/response content are stored on your machine and, where you choose, in your own Git repositories. You retain all right, title, and interest in that content. Using optional online features (for example: Team shared environments or a hosted mock gateway) will transmit the data you explicitly share through those features; see the Privacy Policy for details.
Third-Party Services
The Services may integrate with third-party providers (for example payment processing by Stripe, email list management by EmailOctopus, infrastructure and anti-abuse by Cloudflare, and package registries such as NuGet or NPM when you enable those features). Your use of third-party services is governed by their own terms and policies.
Disclaimer of Warranties
The Services are provided "as is" and "as available" to the maximum extent permitted by law.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
Limitation of Liability
To the maximum extent permitted by law, ApiCourier and its affiliates, officers, employees, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, data, or business interruption.
Our aggregate liability for all claims arising out of or related to the Services will not exceed the greater of (a) the amount you paid to us for the Services in the 12 months before the claim, or (b) USD $100.
Indemnification
You agree to defend, indemnify, and hold harmless ApiCourier and its affiliates from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or violation of these Terms.
Termination
We may suspend or terminate access to the Services if you violate these Terms or if necessary to protect the Services, users, or our legal interests. You may stop using the Services at any time. On termination, online services and subscription-dependent features will cease to function; any rights earned under the Perpetual Fallback License survive termination so long as termination was not for a violation of these Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, excluding conflict-of-law rules. ApiCourier LLC maintains its registered office in Erie County, Pennsylvania (as required for LLC registration purposes), and its principal place of business in Montgomery County, Pennsylvania. Any dispute arising out of or relating to these Terms or the Services must be filed exclusively in the state or federal courts located in Montgomery County, Pennsylvania, and you consent to the personal jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice by updating the date above and, where appropriate, by additional notice through the Services. Your continued use of the Services after the effective date of updated Terms constitutes acceptance of those updates.
